Annual Returns

CIPC annual returns are due on a rolling basis tied to your company's anniversary (incorporation) date. Your financial year-end and your CIPC anniversary date are two separate things — many business owners conflate them and file late as a result. Check your CIPC eServices record to confirm your exact anniversary date and set a reminder on your calendar here for at least 45 days before it every year.

Beneficial Ownership Declaration

Since the 2023 amendments to the Companies Act, every annual return must include a Beneficial Ownership Declaration — filings without it will not be accepted. For each beneficial owner (anyone holding 5% or more of shares/voting rights, or who exercises significant influence), you must declare full names, date of birth, nationality, ID or passport number, residential address, and the nature and extent of their interest.

Director and company changes

Company director changes, registered office changes, and share capital amendments must be filed with CIPC within 10 business days of the change.

Consequences of missing deadlines

Miss filing for two consecutive years and your company faces deregistration — a process that strips it of its legal existence, freezes its bank accounts, and can expose directors to personal liability.

Set calendar reminders on your Sidala calendar 30 days before your anniversary date. If you manage annual returns for multiple clients, maintain a master spreadsheet of all company registration dates and filing deadlines, set reminder alerts at 60 and 30 days before each due date, and file early within the 30-day window rather than at the last minute — CIPC portal congestion is common near deadlines.
